1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ferox AI Inc. (operating as 2628965 Alberta Ltd.) ("Ferox AI," "we," "our," or "us"), a corporation registered in Alberta, Canada, governing your access to and use of the Ferox Nodus desktop application ("Application") and the website at www.feroxai.ca (collectively, "Services").

By downloading, installing, or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement in your jurisdiction to use our Services. By using the Services, you represent and warrant that you meet these requirements.

3. Description of Services

Ferox Nodus is a privacy-first AI assistant desktop application designed for regulated professionals. The Application processes the majority of tasks locally on your device using on-device AI models. Users may optionally escalate queries to cloud-based AI providers through a PII scrubbing pipeline.

Ferox AI reserves the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

4. Account Registration

Certain features of the Services may require account registration. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your login credentials
  • Promptly notify us of any unauthorized access to your account at hello@feroxai.ca
  • Accept responsibility for all activity that occurs under your account

5. Subscriptions and Payments

5.1 Payment Processor

All payments for Ferox Nodus subscriptions and cloud credit top-ups are processed by Paddle.com (Paddle Payments Ltd.), our Merchant of Record ("MoR"). Paddle is responsible for all billing, invoicing, tax collection, and payment processing. When you purchase a subscription, you are entering into a payment relationship with Paddle, subject to Paddle's own terms and policies.

5.2 14-Day Free Trial

Ferox Nodus offers a 14-day free trial for new users. No payment information is required during the trial period. At the end of the trial, continued use requires a paid subscription.

5.3 Subscription Terms

  • Subscriptions are billed on a recurring basis (monthly or annual, as selected) through Paddle
  • Subscription fees are stated in Canadian dollars (CAD) unless otherwise indicated
  • Prices are subject to change with 30 days' written notice
  • All applicable taxes are calculated and collected by Paddle as Merchant of Record

5.4 Cloud Credits

Cloud credit top-up packs may be purchased separately to fund optional cloud AI escalation. Credits are associated with your account and deducted as you use cloud features. Unused credits from top-up packs remain available regardless of subscription status.

6. Refund Policy

All payments for Ferox Nodus subscriptions and cloud credit top-ups are processed by Paddle.com (Paddle Payments Ltd.), our Merchant of Record. Paddle handles all billing, refunds, and payment disputes on our behalf.

Refund requests are governed by Paddle's refund policy. To request a refund, you may:

  • Contact Paddle directly through the receipt email you received at the time of purchase
  • Email us at support@feroxai.ca and we will facilitate the request with Paddle

Subscription cancellations take effect at the end of your current billing period. You retain access to all subscription features until that date. No partial-month refunds are issued for cancellations.

Cloud credit top-up purchases are non-refundable once credits have been used. Unused credits from top-up packs remain available regardless of subscription status.

For the 14-day free trial: no payment information is collected during the trial period, so no refund situation arises.

7. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable federal, provincial, or local law or regulation
  • Infringe upon the intellectual property rights of others
  • Transmit any malware, viruses, or harmful code
  • Attempt to reverse engineer, decompile, or disassemble the Application except as permitted by law
  • Use the Services to process data in violation of applicable professional or regulatory obligations
  • Circumvent any technical measures or security features of the Services
  • Resell, sublicense, or distribute the Services without our written permission

8. Intellectual Property

The Services, including all software, content, design, trademarks, and trade names (including "Ferox AI," "Ferox Nodus," and "Varsel"), are owned by or licensed to Ferox AI Inc. and are protected by Canadian and international intellectual property laws.

Subject to your compliance with these Terms, Ferox AI grants you a limited, non-exclusive, non-transferable, revocable licence to use the Application for your personal or internal business purposes.

You retain all rights to content you create or process using the Application. Ferox AI claims no ownership over your data, documents, or AI outputs.

9. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Ferox AI does not warrant that the Services will be uninterrupted, error-free, or that AI outputs will be accurate, complete, or suitable for any professional purpose. AI outputs should not be relied upon as a substitute for professional judgment. Users are responsible for verifying the accuracy of any AI-generated content before use.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable Canadian law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FEROX AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF FEROX AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL FEROX AI'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO FEROX AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Ferox AI Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any applicable law or third-party rights.

13. Termination

We reserve the right to suspend or terminate your access to the Services at any time for any violation of these Terms, with or without notice. Upon termination, your licence to use the Application is immediately revoked. Provisions that by their nature should survive termination (including Sections 8, 10, 11, 12, and 15) shall survive.

You may cancel your subscription at any time through Paddle's billing portal. Cancellation takes effect at the end of your current billing period.

14. Modifications to Terms

Ferox AI reserves the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on the Website with a revised "Last Updated" date. Continued use of the Services after the effective date of any change constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Alberta, Canada.
